Terms + Conditions

1) Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the TradeGrid websites, applications, and related services (the “Platform”). By creating an account or using the Platform, you agree to these Terms, our Privacy Policy, and our Risk Disclosure (together, the “Agreement”). If you do not agree, do not use the Platform. No advice. The Platform is for skill-based competition and entertainment/education. We do not provide investment, legal, tax or financial advice.

2) Nature of Service

TradeGrid is a skill-based 1v1 trading arena using live market data for short timed matches (“Battles”). Players compete on a Battle Score derived from price movements and multipliers (see §6). We are not a broker, exchange, investment firm, payment institution or e-money issuer under UK law. “Coins” are in-app units used for entry fees and accounting of winnings. Coins are not legal tender, e-money, or securities. We may publish an in-app Payout Rate for converting Coins on withdrawal; this is unrelated to match scoring and may change with notice.


3) Acceptance of Terms

You accept these Terms when you create an account, click to accept, or otherwise use the Platform. We may update the Agreement from time to time (§15). Continued use constitutes acceptance of the updated Terms.


4) Eligibility & Accounts

You must be 18+ (or the legal age in your jurisdiction). TradeGrid is not available in certain countries and territories that are subject to comprehensive sanctions, trade restrictions or other legal prohibitions (“Restricted Jurisdictions”). You may not access or use the Platform if you are located in, resident of, or ordinarily reside in a Restricted Jurisdiction; if you are a citizen of a Restricted Jurisdiction where applicable laws prohibit such use; if you are listed on (or owned or controlled by any person or entity listed on) any applicable sanctions or denied-parties list issued by the United Nations, the European Union, the United States, the United Kingdom or any other relevant sanctions authority; or if you act on behalf of, or for the benefit of, any person or entity that falls under these restrictions. Restricted Jurisdictions currently include, without limitation, countries and territories subject to comprehensive embargoes or sanctions such as Cuba, Iran, North Korea, Syria, Sudan, South Sudan, Afghanistan, Belarus, Venezuela, Myanmar (Burma), and the Crimea, Donetsk and Luhansk regions of Ukraine, as well as any other country or region subject to broad, territory-wide sanctions from time to time. This list is illustrative only and may change at any time to reflect updates in applicable laws and regulations, and TradeGrid may, at its sole discretion, designate additional jurisdictions, entities or individuals as restricted. TradeGrid is generally available in other countries, including the United States, provided that your use of the Platform does not violate any applicable local, national or international laws and that you are not otherwise subject to sanctions or restrictions as described above. You agree that you will not use VPNs, proxies or any other technical means to circumvent these geographic or sanctions-based restrictions, and TradeGrid reserves the right to suspend or terminate access to the Platform and/or freeze or block transactions if we reasonably believe that you are in breach of this clause or any applicable sanctions laws.


5) Coins, Pricing & Fees

Entry fees and winnings accounting are denominated in Coins. We may charge processing/network fees (e.g., blockchain gas) on withdrawals; such fees are borne by you. Promotional credits/bonuses (if any) may be non-withdrawable or subject to conditions we specify in-app. Taxes (if any) are your responsibility.


6) Arena Rules (Game Mechanics)


6.1 Battle Format

Battles are 1v1, lasting exactly 10 minutes. Trading occurs with live market data in real time (subject to delays/outages in §6.9).


6.2 Objective & Winner

The objective is to achieve the highest final Battle Score by match end. The player with the higher final Battle Score wins, even if both scores are negative. Draw: if both players’ final Battle Scores are equal after rounding (see §6.8), the Battle is a draw.


6.3 Entry Fee & Prize Pool

Each player pays an entry fee (e.g., 25K Coins). The winner takes the full prize pool (e.g., 50K Coins). Draw: both players receive an entry-fee refund.


6.4 Minimum Activity Requirement

Each player must open at least one trade during the Battle. If one player finishes without any trade, the opponent automatically wins. If neither player opens a trade, the match is void and both entry fees are refunded.


6.5 Position Limits & Orders

Max 1 active position per instrument at a time (e.g., one long or one short; no hedging on the same instrument). You may hold positions across multiple instruments simultaneously. To re-enter the same instrument, you must close your existing position first. Only market orders are supported; no pending orders, stop loss or take profit.


6.6 Multipliers

Before each trade you may select a Multiplier: 1×, 2×, 3×, 4×, 5×, or 10× (default 1×). The Multiplier applies only to that trade and cannot be changed after opening. Gains and losses scale proportionally with the Multiplier.


6.7 Available Instruments

You may trade only from our predefined list of instruments [EDIT: link]. Instruments may be unavailable when markets are closed or outside active hours.


6.8 Result Calculation


6.8.1 Battle Score (price-difference based)

Long (buy): Score = (Close − Entry) × Multiplier

Short (sell): Score = (Entry − Close) × Multiplier

Final Battle Score = sum of all per-trade Scores in the Battle, including trades still open when the 10-minute timer expires; such trades are settled at the last available price at expiry.


6.8.2 Precision & Rounding

Instruments use their own tick size/precision. We compute per-trade Scores at engine precision; the final Battle Score is rounded to 6 decimals (round half up) for display and winner determination. Tie rule: if both players’ final Battle Scores are equal to 6 decimals, the result is a draw.


6.8.3 Illustrative examples

Long from 1.12500 → 1.12641, Multiplier 5× → (1.12641 − 1.12500) × 5 = 0.00705.

Short from 65000 → 64750, Multiplier 1× → (65000 − 64750) × 1 = 250.


6.9 Disconnections, Data & Settlement

You are responsible for your device and connection. Disconnections or local latency do not entitle you to refunds. Live market data may be subject to delays or outages. If a material platform or data issue affects fairness, we may void, replay, or refund a Battle at our discretion. Settlement at expiry uses the last available price.


6.10 Fair Play & Integrity

We may take action to preserve fair play, including voiding battles, issuing refunds, or suspending accounts where appropriate.


7) Withdrawals

Winnings (in Coins) appear in your dashboard balance after the match. You may reuse Coins for Battles or request a withdrawal via USDT (ERC-20) to your provided address. Withdrawal fees may include (i) blockchain network (“gas”) fees and (ii) third-party payment processor fees. These fees are variable and may change over time based on network conditions and processor pricing. The Platform will always display the total fee amount and the net amount you will receive in your dashboard before you confirm a withdrawal. By confirming a withdrawal request, you agree to the applicable fees shown at that time. We aim to process withdrawals within 24 hours. Network (gas) fees and any third-party fees are ultimately paid by you.


8) Prohibited Conduct

You must not: exploit bugs; abuse latency; multi-account; use bots/scripts or other automation for advantage; impersonate others; engage in chargeback abuse; launder funds; evade sanctions; scrape or harvest data; hack, probe, reverse-engineer, or circumvent security; or otherwise breach these Terms or applicable law. Consequences may include disqualification, forfeit of winnings, refusal of refunds, temporary suspension, permanent ban, withholding/recouping payouts, and reporting to authorities where required.


9) Intellectual Property

All Platform content, code, UI, and trademarks are owned by us or our licensors. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform per this Agreement.


10) Service Availability and User Connectivity

You are solely responsible for obtaining, maintaining and securing the hardware, software, internet connection and any other technical resources necessary to access and use the Platform. TradeGrid does not guarantee that you will be able to access the Platform at all times from your location or device. You acknowledge and agree that battles and other game sessions are processed on TradeGrid’s servers and may continue to run even if you lose your local internet connection, experience latency, hardware failure or any other issue on your side. In such cases, any results, losses or missed opportunities arising from your inability to reconnect (including the loss of the entry fee for a battle) shall remain valid and enforceable, provided that the Platform itself was functioning as intended. To the maximum extent permitted by applicable law, TradeGrid shall not be liable for any loss, damage, cost or expense (including loss of entry fees or potential winnings) caused by or related to: your internet service provider, your network, device or browser, third-party software, firewalls or security tools on your system, or any other technical issue outside TradeGrid’s reasonable control. In particular, TradeGrid has no obligation to cancel, reverse, compensate, refund or otherwise adjust any battle result, subscription period, purchase or withdrawal due to your personal connectivity problems or technical failures on your side, except where expressly required by law or explicitly stated otherwise in these Terms.


11) Disclaimers & Risk Notice

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant uninterrupted or error-free operation, data accuracy, or availability. No investment advice. Past performance is not indicative of future results. You may lose your entry fees.


12) Liability & Indemnity (UK)

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any liability that cannot be excluded under English law. Subject to the foregoing, we are not liable for indirect, incidental, special, punitive or consequential damages; or for loss of profits, data, reputation, or business; whether arising in contract, tort (including negligence), or otherwise. Our aggregate liability to you shall not exceed the total entry fees you paid to us in the preceding 3 months. You agree to indemnify and hold us harmless from claims, liabilities, damages, losses, and costs (including reasonable legal fees) arising from your breach of the Agreement or applicable law.


13) Payments, Refunds & Chargebacks

Entry fees are final and non-refundable, except where the rules explicitly provide (e.g., draw, void for fairness) or we otherwise decide at our discretion. Unauthorized or abusive chargebacks may result in account suspension and recovery of the amounts, fees, and associated costs.


14) Compliance (KYC/AML/Sanctions)

We may conduct due diligence and monitoring consistent with UK laws, including the Proceeds of Crime Act 2002, Money Laundering Regulations 2017, and the Sanctions and Anti-Money Laundering Act 2018. We may block transactions, freeze balances, or close accounts to meet legal or risk requirements.


16) Privacy (UK GDPR)

We process personal data under UK GDPR and the Data Protection Act 2018, as described in our Privacy Policy [EDIT: link]. Supervisory authority: Information Commissioner’s Office (ICO). You may have the right to lodge a complaint with the ICO without prejudice to other remedies.


16) Changes to the Service & Terms

We may update features, pricing (including Payout Rate), and these Terms. Material changes will be notified in-app or by email and take effect upon posting (unless a later date is specified). Continued use constitutes acceptance.


17) Suspension & Termination

We may suspend or terminate access for breaches, suspected fraud/abuse, legal requirements, risk concerns, or inactivity. You may close your account at any time, subject to completing KYC (if required) and settling any open matters.


18) Governing Law & Dispute Resolution

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction. If you are a consumer resident outside the UK, you may benefit from mandatory consumer protections of your local law; nothing in these Terms limits those mandatory rights.
